Welcome to podai.com (the “Website”). This Terms of Use Agreement (the “Agreement”) is made by and between you and Primrose Point Limited (the “Company”, “us”, “we”, or “our”), trading as PodAI and AI Marketing Solutions (AIMS).
This Agreement sets forth the terms and conditions governing your use of and access to the Website, AI chat services, and any products, materials, and digital marketing services provided by or on the Website (collectively, the “Services”).

5.0 AI Chat Services and Limitations of Liability

The Company provides AI-powered chat services designed to assist clients in automated communication. The Client acknowledges that the AI operates autonomously and assumes full responsibility for its outputs.
5.2 No Guarantee of Accuracy
The Client acknowledges that AI-generated responses may not always be accurate or appropriate. The Company disclaims all liability for errors or out comes resulting from the use of the AI Services.
5.3 Client Responsibility
The Client is solely responsible for ensuring compliance with applicable laws, including data protection regulations, when using the AI Services.
5.4 Indemnity for AI Outputs
The Client agrees to indemnify the Company against any claims, damages, or legal proceedings arising from the use of AI Services.
5.5 Limitation of Liability for AI Services
The Company's liability for AI Services is limited to the amount paid for such Services in the three months preceding the claim.
6.0Confidentiality and Intellectual Property
6.1 Confidentiality
Both parties agree to protect any confidential information exchanged during the course of providing Services.6.2 Intellectual Property Rights
All intellectual property, including tools, methodologies, and deliverables, remains the exclusive property of the Company. The Client is granted a limited, non-transferable license to use such materials.
7.0 Indemnity
The Client agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from their use of the Services, including third-party claims and the misuse of AI Services or marketing services.
8.0Limitation of Liability
The Company is not liable for indirect, incidental, or consequential damages, including lost profits or business interruption, arising from the use of the Services.
9.0TerminationBoth the Client and the Company may terminate the agreement with notice. Upon termination, the Client remains responsible for payments due for Services provided up to the termination date.
10.0Governing Law and Dispute Resolution This Agreement is governed by the laws of England and Wales. Any disputes will be resolved by arbitration or in courts located in the UK.
